Terms and Conditions

Welcome to Cortex. These Terms and Conditions ("Terms") govern your access to and use of the Cortex platform, including our website, applications, APIs, and all related services (collectively, the "Service"). By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Platform" refers to Cortex, including all web applications, mobile apps, APIs, and associated infrastructure.
• "User," "You," "Your" refers to any individual or entity that creates an account or uses the Service.
• "Subscription" refers to the paid tier of service you select (Free, Guardian, Sentinel, or Founder).
• "Trading Data" refers to any trade records, account balances, broker connection details, journal entries, and analytics generated through your use of the Platform.
• "AI Features" refers to AI-powered analysis, copilot recommendations, revenge detection scoring, and any other machine learning outputs.

2. Eligibility

You must be at least 18 years of age and legally able to enter into a binding agreement in your jurisdiction. By using the Service, you represent that you meet these requirements. The Service is not directed at persons under 18, and we do not knowingly collect data from minors.

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access or use of your account.

3.2 One Account Per Person

Each user may maintain only one account. Creating multiple accounts to circumvent tier restrictions, abuse free tier limits, or manipulate community features is grounds for immediate termination.

3.3 Account Security

You are solely responsible for all activity under your account. Cortex employs industry-standard security measures, including encrypted data transmission (TLS 1.3), secure authentication via Supabase Auth, and row-level security on all database operations.

4. Service Description and Limitations

4.1 What We Provide

Cortex is a trading discipline and risk management platform. We provide tools including trading plan builders, trade journaling, revenge trading detection, AI-powered analysis, broker connectivity, community features, and educational content.

4.2 Not Financial Advice

Cortex does NOT provide financial advice, investment recommendations, or trading signals. All AI-generated insights, risk scores, and compliance alerts are for educational and informational purposes only. You are solely responsible for your trading decisions. Past performance of any strategy or tool does not guarantee future results.

4.3 No Guarantee of Profitability

Trading financial instruments carries significant risk of loss. Cortex makes no representations or warranties that use of our platform will prevent losses, improve trading performance, or generate profits. You acknowledge that you trade at your own risk.

4.4 AI Limitations

Our AI features, including the CortexAI copilot and revenge detection engine, are probabilistic tools. They may produce inaccurate, incomplete, or inappropriate outputs. You should never rely solely on AI recommendations for trading decisions. AI outputs are supplementary tools, not substitutes for your own judgment.

5. Subscription Tiers and Billing

5.1 Free Tier

The Free tier provides limited access to core features at no cost. Feature availability is subject to change. We reserve the right to modify or discontinue the Free tier with 30 days' notice.

5.2 Paid Tiers (Guardian, Sentinel, Founder)

Paid subscriptions are billed monthly or annually via Stripe. Prices are displayed at the time of purchase and may be updated with 30 days' notice. Annual plans are non-refundable after the 14-day cooling-off period. Monthly plans may be cancelled at any time and will remain active until the end of the current billing cycle.

5.3 Refund Policy

Monthly subscriptions: No refunds for partial months. Annual subscriptions: Full refund within 7 days of purchase; pro-rated refund within 30 days; no refund after 30 days. All refund requests must be submitted to support@nexara-cortex-ai.com.

6. Broker Connections

When you connect a trading account through our platform (via MetaAPI or other integrations), you authorize Cortex to read your account data, including balances, positions, and trade history. We do not execute trades on your behalf unless you explicitly enable such features. Broker API credentials are stored securely and encrypted. You may disconnect your broker at any time through your Settings page.

7. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated tools to extract data from the Platform
• Share your account credentials or allow others to access the Service through your account
• Post misleading, fraudulent, or harmful content in community features
• Manipulate community rankings, badges, or gamification features
• Use the AI features to generate content that violates applicable laws

8. Intellectual Property

All content, software, algorithms, designs, trademarks, and other intellectual property in the Service are owned by or licensed to Cortex. You retain ownership of your Trading Data. By using the Service, you grant us a limited license to process your Trading Data solely for the purpose of providing and improving the Service.

9. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time from the Settings page. Upon termination, we will delete your personal data within 30 days, subject to legal retention requirements. Trading Data exports will be available for 14 days after account deletion is initiated.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, TRADING LOSSES, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms shall be resolved through binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996. You waive any right to participate in class-action lawsuits against Cortex.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email and in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
